1. SUBJECT OF THE CONTRACT

1.1. In accordance with this Agreement, the Supplier undertakes, during the term of this Agreement, to supply, at the request (order) of the Buyer, automobile tires (hereinafter referred to as the "Goods") in accordance with the agreed list (Appendix No. 1).

1.2. The Supplier undertakes, when concluding the Contract, to provide the Buyer with a valid price list for the Goods, indicating the name of the Goods, its characteristics (manufacturer, brand, quality, etc.) and the price of the Goods. nine0005

1.3. During the validity period of this agreement, the Supplier is not entitled to make changes to the price list in terms of the price of the Goods.

2. PRICE, QUANTITY, QUALITY OF GOODS

2.1. The name of the Goods, the unit price, the quantity of the Goods and the total amount of the Contract, the requirements for the quality and completeness of the Goods are determined by the Supplier in agreement with the Buyer and are reflected in the order approved by the Parties, which is an integral part of this Contract (Appendix No. 2). An order is placed for at least one item. The order is signed by authorized representatives of the Parties and sealed. If necessary, the Parties may also agree on other conditions in the order. nine0005

2.2. The quality of the Goods must comply with the requirements of GOST, TU, technical regulations of the Russian Federation and be confirmed by certificates or other documents that determine the quality of the Goods.

2.3. The Supplier undertakes to transfer the Goods to the Buyer in accordance with the "Instructions on the procedure for accepting industrial and technical products and consumer goods by quantity" (approved by the USSR State Arbitration on June 15, 1965 P-6) and "Instructions on the procedure for accepting industrial products and consumer goods consumption by quality” (Approved by the Decree of the USSR State Arbitration Court dated April 25, 201966, No. P-7).

2.4. Simultaneously with the transfer of the Goods, the Supplier shall transfer to the Buyer the documents related to it (waybills, invoice, acceptance certificate, copies of certificates or other documents that determine the quality of the Goods).

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. The supplier is obliged to:

3.1.1. To carry out deliveries of the Goods within working days from the date of order approval, unless other terms are specified by the parties to the contract in the purchase order. The date of delivery of the Goods is the date of delivery of the Goods to the Buyer. nine0005

3.1.2. Immediately notify the Buyer of all circumstances that make it difficult or impossible for the Supplier to fulfill its obligations to supply the Goods.

3.1.3. Deliver Goods of good quality.

3.1.4. Deliver the Goods to the Buyer. The cost of delivery is included in the price of the Goods.

3.2. The buyer is obliged to:

3.3. The Buyer has the right to unilaterally refuse to execute this Agreement if 1/4 of the Goods of at least one batch is of inadequate quality with defects that cannot be eliminated within a period acceptable to the Buyer, as well as repeated violations of the delivery time. The Buyer also has the right to unilaterally refuse to execute the Contract if the Supplier changes the prices for the Goods.

4. PAYMENT PROCEDURE

4.1. Payment for the Goods is made by the Buyer on the basis of the Supplier's invoice. The payment term is banking days from the date of delivery of the Goods. nine0005

4.2. The Supplier has the right not to ship the Goods according to the relevant order, if by the date of the next shipment the Buyer will be indebted for previous shipments. In this case, the due date of shipment of the relevant consignment of the Goods will be considered the next business day after the Supplier repays the relevant debt.

5. RESPONSIBILITIES OF THE PARTIES

5.1. In case of violation of the terms of this Agreement, the Parties shall be liable in accordance with the current legislation of the Russian Federation. nine0005

6. FORCE MAJOR

6.1. The Parties are released from liability for non-fulfillment or improper fulfillment of obligations under the Agreement in the event of insurmountable obstacles, which are understood as: natural disasters, riots, prohibitive actions of the authorities and other force majeure circumstances.

6.2. The party that does not fulfill its obligation due to force majeure must immediately notify the other party of the obstacle and its impact on the fulfillment of obligations under the Agreement and submit the relevant document to the competent authority. nine0005

7. DISPUTES RESOLUTION

7.1. All disputes under this Agreement the Parties will, if possible, resolve through negotiations.

7.2. If no agreement is reached, the disputes are settled in the arbitration court.

8. TERM OF AGREEMENT

8.1. This Agreement comes into force from the moment of signing and is valid until "" 2022. If by the specified moment the Parties have unfulfilled obligations arising from this Agreement, the term of the Agreement shall be extended until the Parties fully fulfill their obligations. nine0005

9. FINAL PROVISIONS

9.1. In all other respects that are not provided for by the terms of this Agreement, the Parties are guided by the provisions of the current legislation of the Russian Federation.

9.2. This Agreement is made in two copies having equal legal force, one copy for each of the Parties.

9.3. Any changes and additions to this Agreement are valid provided that they are made in writing and signed by the Parties or authorized representatives of the Parties. nine0005
